Welcome to Hisabo! These Terms & Conditions (“Terms”) govern your download, installation, access, and use of the Hisabo mobile application (“App”) and the website (https://www.hisabo.app), operated by MSM Solutions (“we”, “our”, “us”).

1. About Hisabo

Hisabo is a digital bookkeeping (Khata) and transaction recording application. It is designed to assist users in manually recording daily income, expenses, and ledger entries for personal use or small businesses.

• No Professional Advice: Hisabo is an administrative utility. It does not provide professional financial, accounting, legal, or tax advice. We do not audit or verify the information you input. Any calculations or reports generated by the App are for informational purposes only. You are advised to consult a certified professional accountant or advisor for financial or tax matters.

2. Account Registration and Security

• Phone Verification: To access the cloud-synchronized features of Hisabo, you must register by verifying your phone number using a One-Time Password (OTP).
• Account Security: You are solely responsible for maintaining the confidentiality of your account credentials and device lock, and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to your account.
• Accuracy of Information: You agree to provide accurate, current, and complete profile information (such as name and email) and keep it updated.

3. Scope of Use and Restrictions

You are granted a limited, non-exclusive, non-transferable, revocable license to use Hisabo on a mobile device owned or controlled by you, solely for your personal or internal business purposes.

You agree not to:

1. Copy, modify, adapt, translate, or create derivative works of the App.
2. Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App.
3. Use the App for any illegal, unauthorized, or fraudulent purpose.
4. Disrupt, disable, or interfere with the operation or security of the App or its database servers.
5. Sell, rent, lease, sublicense, or distribute the App to any third party.

4. Subscriptions, Payments, and Trials

Hisabo may offer both a free version and premium subscription tiers with advanced features (e.g., unlimited ledgers, advanced reports).

• In-App Purchases: Subscriptions and premium feature upgrades purchased inside the App are processed securely via the Apple App Store (iOS) or Google Play Store (Android) billing platforms.
• Razorpay Payments: For certain regions, we may offer payment processing directly via Razorpay.
• Billing and Renewal: Subscriptions are billed in advance on a recurring monthly or annual basis. Recurring subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing cycle through your respective App Store or Google Play account.
• Free Trials: Any promotional free trials granted will automatically convert to a paid subscription at the end of the trial period unless canceled beforehand.
• Refunds: All purchases are final. Refund requests are subject to the policies of the Apple App Store, Google Play Store, or Razorpay, and are generally non-refundable by us directly.

5. User Content and Data Backups

• Ownership of Data: You retain all rights and ownership to the transaction data, notes, photos, and customer lists you record in the App (“User Content”).
• License to Us: By using the App, you grant us a worldwide, non-exclusive, royalty-free license to host, store, transfer, and sync your User Content solely to provide the services of the App to you.
• Data Backups: While Hisabo syncs your data securely to the cloud, you are responsible for maintaining independent copies of your ledger details (e.g., by regularly exporting PDF/Excel backups). We are not liable for any data loss resulting from device malfunction, network issues, unauthorized access, or account deletion.

6. Intellectual Property Rights

All rights, title, and interest in and to the App, including but not limited to the design, structure, graphics, icons, logos, trademarks, and source code, are owned exclusively by MSM Solutions or its licensors. You do not acquire any ownership rights by using the App.

7. Disclaimers

To the maximum extent permitted by applicable law, MSM Solutions disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• That the App will be uninterrupted, error-free, secure, or free from viruses or harmful components.
• The accuracy, reliability, completeness, or timeliness of any report, calculation, or information generated through the App.

8. Limitation of Liability

This limitation includes, but is not limited to, damages for:

• Loss of profits, revenue, or business.
• Loss of data, backup files, or User Content.
• Financial discrepancies, tax penalties, or errors in calculations.
• Any unauthorized access to or use of our secure servers and/or personal data stored therein.

Our total aggregate liability for any claims arising out of or relating to these Terms or the App shall not exceed the total amount paid by you to us for using the App during the twelve (12) months preceding the event giving rise to liability.

9. Termination

• By You: You may terminate your agreement to these Terms at any time by deleting your account from within the App Settings and uninstalling the App.
• By Us: We reserve the right to suspend or terminate your account and block access to the App immediately, without prior notice, if you breach these Terms or engage in activities that may harm us, our users, or third parties.
• Effect of Termination: Upon termination, your right to use the App ceases, and any synced cloud data associated with your account will be permanently deleted in accordance with our Privacy Policy.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in India.

11. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will indicate the date of the latest update at the top of these Terms. Your continued use of the App following the posting of any changes constitutes acceptance of those modified Terms.
